The North Shore Cyclists Board of Directors includes five officers whose duties are described below. (Official description of duties can be found on the By Laws page.)

  1. President presides at all meetings of the members and all Board meetings, and coordinates the activities of the board. The president has signature authority for contracts and bank accounts and is responsible for assuring the timely completion of tax and insurance filings by other Board members.
  2. Vice President assists the President and other Officers in their duties and contributes to the operation of the Club.
  3. Treasurer maintains itemized accounting (in QuickBooks); deposits membership dues, century registrations, and clothing income; pays the annual insurance and century insurance; writes checks to reimburse ride leaders for expenses; coordinates payment of century expenses and banquet expenses with persons overseeing those events; and delivers an accounting report at meetings, as required.
  4. Secretary takes minutes at Board meetings and meetings of the members, and distributes notes to Board members.
  5. Clerk files the annual report with the Commonwealth and the Federal Tax for Non Profit (Form 990) with the IRS. The clerk also maintains official NSC documents on the website. 

Also, there is the non-voting position of Past-President for one year for a President leaving office. And, beginning in 2024, any board, after it is seated, may opt to make a director a second Vice-President, thereby increasing the number of officers by one and decreasing the number of directors by one.

 

Beginning in 2025, elections for the  directors and officers are held online in the Fall of each year. The Board shall establish and distribute nomination procedures on or before September 15th of each year. The general process is as follows:  

  • The Call for Nominations will be opened on or before September 15th, and will close at approximately four weeks later so election managers have sufficient time to prepare the ballot and supporting candidate statements. 
     
  • All board positions (officers and directors) should be considered open to any club member interested in serving.
     
  • Any club member can nominate a member for the board, even her/himself. The candidate must be a member by the time the call for nominations closes, as that is when the membership roll will be added to the election application.
     
  • All nominations should be sent to the Nominations Committee at nominations@nscyc.org. A nomination should identify the nominee by name, the position for which the person is being nominated, describe his or her pertinent skills. Every nominee will have the opportunity to provide an candidate statement prior to the election, which will become part of the ballot.
     
  • Voting will take start nine days and end two days before the fall member meeting. Results will be reported at the Fall meeting and by email to club members the same day.
